ESSACHINA Terms of Service

Welcome to ESSACHINA!

This Agreement is the ESSACHINA Terms of Service, and as of the date of this Agreement, all references to the ESSACHINA Terms of Service in the ESSACHINA Platform refer to this Agreement.

I. Acceptance of the Agreement

1.1 This Agreement includes the body of the Agreement and all rules that ESSACHINA has issued or may issue in the future and take reasonable steps to notify. All rules are an integral part of the Agreement and have the same legal effect as the body of the Agreement.

1.2 You should read this Agreement carefully before clicking to agree to it. Please be sure to read and fully understand the contents of the terms and conditions, especially the exemption or limitation of liability, the application of law and dispute resolution provisions. The clauses exempting or limiting liability will be boldly underlined and you should read them with emphasis. If you have any questions about the Agreement, you may contact the ESSACHINA Platform Customer Service.

1.3 When you fill in the information according to the prompts on the registration page, read and agree to the Agreement and complete all the registration procedures, or enter the ESSACHINA Platform and use the Services in any way, it means that you have fully read, understood and agreed to accept the terms and conditions of this Agreement. In the process of reading this Agreement, if you do not agree with this Agreement or any of its terms and conditions, you should immediately stop the registration process and stop using the Services.

II. DEFINITIONS

2.1 ESSACHINA Platform: refers to the online information dissemination and trading platform for business-to-business trade (B-TO-B) hosted and operated by Guangdong ESSACHINA Technology Co. client.

2.2 ESSACHINA Platform Services: refers to the services (hereinafter referred to as “Services”) provided to you based on the Internet in various forms (including new forms of services arising from future technological development), including the ESSACHINA website and the Client.

Scope of Agreement

3.1 Subject of Contract

This Agreement is concluded between you and ESSACHINA, and this Agreement has the same contractual effect on you and ESSACHINA.

3.2 Supplementary Agreement

Due to the rapid development of the Internet, you and ESSACHINA signed the terms of this Agreement does not completely list and cover all the rights and obligations, the existing agreement can not guarantee full compliance with the needs of future development. Therefore, ESSACHINA's Legal Notices, Privacy Policy and ESSACHINA's Platform Rules are supplemental to this Agreement and are inseparable from and have the same legal effect as this Agreement. If you use ESSACHINA services, you are deemed to agree to the above supplemental agreement.

Account Registration and Use

4.1 Account Registration

4.1.1 After you fill in the information according to the prompts on the registration page, read and agree to this Agreement and complete all the registration procedures, or actually use the ESSACHINA Services by filling in the information according to the prompts on the activation page, reading and agreeing to this Agreement and completing all the activation procedures, you will be bound by this Agreement. You may access the ESSACHINA Platform by using the e-mail address or cell phone number you have provided or confirmed as a means of login.

4.1.2 You understand and agree that, if you complete the registration process on the ESSACHINA Platform, you will have access to an account on the ESSACHINA Website and the Client as long as your registration is successful.

4.1.3 As your account is linked to your information and the commercial information of the ESSACHINA Platform, your account is for your personal use only. Without the consent of ESSACHINA, any direct or indirect authorization by you to a third party to use your account or to access information under your account is void. If ESSAC Technology determines that the use of your account may jeopardize the security of your account or the information security of the ESSACHINA Platform based on the use of your account, ESSAC Technology may refuse to provide the corresponding services or terminate this Agreement.

4.2 Account Transfer

Because user accounts are associated with user credit information, you may transfer your account only if expressly provided for by law, judicial decision, or with the consent of ESSACHINA Technology, and in accordance with the account transfer process set forth in the ESSACHINA Platform Rules. Once your account is transferred, the rights and obligations under the account are transferred. In addition, your account may not be transferred in any way, otherwise ESSACHINA has the right to pursue your liability for breach of contract, and the corresponding responsibility arising therefrom shall be borne by you.

4.3 Recovery of Inactive Accounts

If your account meets the following conditions at the same time, your account may be canceled, you can no longer log in to the ESSACHINA website and client, all ESSACHINA platform services will be terminated at the same time:

1, you have not logged in to ESSACHINA for 12 consecutive months using your email or cell phone.

2, there is no valid business that has not expired.

4.4 Registration Information Management

4.4.1 When completing the registration or activation process, you should accurately and completely provide and timely update your information according to the prompts on the corresponding page of the ESSACHINA Platform, so as to always keep it true, timely, complete and accurate.

4.4.2 If ESSACHINA Technology fails to contact you according to the information you last provided, if you do not provide information in time as required by ESSACHINA Technology, if the information you provide is obviously inaccurate, or if the administrative and judicial authorities verify that the information you provide is invalid, you will bear all the damages and unfavorable consequences to yourself, others and ESSACHINA Technology as a result of this. Yizai Technology may send you inquiries or request rectification of the notice, and require you to re-certification, until the suspension, termination of you to provide some or all of the services of Yizai Technology, in addition to the law clearly stipulates that Yizai Technology is not responsible for this.

4.5 Account Security

4.5.1 Your account is set up by you and kept by you, and Iztec will not ask you to provide your account password at any time. Therefore, you are advised to keep your account safe and to ensure that you log out at the end of each session and leave the ESSACHINA Platform in the correct order. ESSACHINA is not responsible for the losses and consequences of your account due to your active disclosure or due to your being attacked or defrauded by others, and you shall recover the losses and consequences from the infringer through judicial, administrative and other remedies.

4.5.2 In addition to the existence of Yizai Technology fault, you should be your account under all the results of the behavior (including, but not limited to, online signing of various types of agreements, release of information, inquiries / quotes, procurement of products, ordering services and disclosure of information, etc.) is responsible for.

4.5.3 If you discover any unauthorized use of your account to access the ESSACHINA Platform or any other circumstances that may lead to the theft or loss of your account, you are advised to notify IST immediately. You understand that it takes a reasonable amount of time for ESSACHINA to act on any of your requests, and that ESSACHINA may not be able to avoid or prevent the formation or expansion of the consequences of the infringement of your request, and that ESSACHINA will not be liable for such infringement, except for ESSACHINA's legal fault.

V. Services and Specifications

You have the right to enjoy the ESSACHINA platform to request quotations for products, procurement and corresponding services, transaction dispute processing services, etc. ESSACHINA provides a wide range of services, you can visit the ESSACHINA platform to browse the details.

5.1 Product inquiry, procurement and corresponding services.

5.1.1 When you inquire about and purchase products on the ESSACHINA Platform, please be sure to carefully confirm the product name, price, quantity, model, specification, size, or service time, content, restrictive requirements and other important matters, and verify your contact address, telephone number, consignee and other information when placing an order. If you fill in the consignee is not you, the consignee's behavior and meaning of the legal consequences are borne by you.

5.1.2 You fully understand and agree that the ESSACHINA platform is a commercial trade procurement platform, not a consumer-oriented consumer purchase market, so your inquiry and procurement behavior should be based on real trade demand, there shall be no products or services to implement the malicious inquiry, procurement, malicious rights and other disruptions to the normal order of the ESSACHINA platform transactions. Based on the maintenance of the ESSACHINA platform trading order and the need for transaction security, ESSACHINA Technology can take the initiative to implement the closure of the relevant transaction orders when it finds the above situation.

5.1.3 You have the right to evaluate the services with which you have entered into a transaction in the evaluation system provided by the ESSACHINA platform. All your evaluation behavior should comply with the relevant provisions of the ESSACHINA platform rules, the evaluation content should be objective and true, and should not contain any obscene language, pornographic vulgarity, advertising information and laws and regulations and other prohibited information set out in this Agreement; you should not help others to improve credit in an improper way or use the evaluation rights of other users to implement the threat of extortion and blackmail. ESSACHINA may delete or block the evaluation information generated by the above behavior in accordance with the relevant provisions of the ESSACHINA Platform Rules.

5.1.4 If you request quotations or make purchases on the ESSACHINA platform:

5.1.4.1 You undertake to comply with all applicable laws and regulations relating to import and export controls, trade restrictions and economic sanctions. If you violate the foregoing commitments, ESSACHINA may stop providing the relevant services upon discovery of the above circumstances.

5.1.4.2 You need to make sure that you are not the object of trade restrictions, economic sanctions or other laws and regulations imposed by any country, region or international organization, and that you have not directly or indirectly provided funds, goods or services to the aforementioned objects, otherwise you should stop using the services provided by Icetech, and at the same time, you understand that the violation of the foregoing requirements may result in the inability to properly register and use the services of Icetech.

5.1.5 With respect to goods, services, software and technology obtained through the ESSACHINA Platform, you undertake to comply with all applicable laws and regulations relating to import and export controls, trade restrictions and economic sanctions, including the resolutions, laws and regulations of the United Nations Security Council, China, the United States of America, and any other countries that have enacted and implemented sanctions. Based on the need to maintain trading order and transaction security, if you violate the above commitment, Izumi Technology may terminate the service and take the initiative to execute the closure of the relevant transaction orders and account disposal and other operations when it finds the above situation.

5.2 Transaction Dispute Handling

5.2.1 You can through the ESSACHINA platform supported by the transaction with other users to reach transactions, and comply with the corresponding transaction and payment rules.

5.2.2 You are advised to contact ESSACHINA immediately in the event of a dispute during the transaction process on the ESSACHINA platform.

Fees

6.1 ESSACHINA Technology has paid a lot of costs for the services provided to you by ESSACHINA Platform. In addition to the fee-based business expressed by ESSACHINA Platform, the services provided to you by ESSACHINA Technology are currently free of charge. If ESSACHINA charges you reasonable fees in the future, ESSACHINA will take reasonable means and notify you in advance through legal procedures in an effective manner agreed upon in this Agreement to ensure that you have the full right to choose.

6.2 All taxable expenses incurred by you as a result of conducting transactions, obtaining paid services from Icetech, or contacting Icetech's servers, as well as the costs of related hardware, software, communications, network services and other aspects of the costs are borne by you.

Limitation of Liability

7.1 Izumi Technology performs the basic security obligations in accordance with the law, but for the following force majeure or other third-party factors cause obstacles to the performance of the contract, performance defects, delay in performance or performance of the content of the change and so on, Izumi Technology does not assume the corresponding liability for breach of contract:

(a) Force majeure due to natural disasters, strikes, riots, war, governmental acts, judicial and administrative orders and other force majeure factors;

(ii) Due to power supply failure, communication network failure and other public service factors or third-party factors;

(iii) Factors such as routine or emergency equipment and system maintenance, equipment and system failure, network information and data security, etc., when IST has done its good faith management.

7.2 IST only provides you with the services agreed upon in this Agreement, and you understand that the information on the ESSACHINA platform is published by the users themselves, and that there may be risks and defects. ESSAC Technology will establish a relevant inspection and monitoring system in accordance with the law to protect your legitimate rights and interests and good experience on the ESSACHINA platform as far as possible. At the same time, in view of the ESSACHINA platform with the existence of massive information and information network environment, information and physical separation of characteristics, such as the discovery of the existence of hazardous information and behavior, please contact with ESSACHINA Technology and complaints in a timely manner, ESSACHINA Technology will be harmful information and behavior to deal with.

7.3 You understand and agree that, in the dispute resolution service, ESSACHINA platform customer service is not a professional, only to ordinary people's knowledge of the credentials submitted by the user to make judgments, Efficient Technology does not guarantee that the dispute resolution decision must meet your expectations, in addition to the law clearly stipulates that there is intentionality or gross negligence, Efficient Technology does not bear responsibility for the decision of the dispute resolution.

VIII. Protection of User Information, Authorization and Information Release Specifications

8.1 Protection of Personal Information

IST attaches great importance to the protection of users' personal information (i.e., information that can identify the user independently or in combination with other information). When you use the services provided by IST, you agree that IST collects, stores, uses, discloses and protects your personal information in accordance with the Privacy Policy published on the ESSACHINA platform. ESSACHINA hopes that the Privacy Policy will provide you with a clear understanding of how ESSACHINA handles your personal information, and therefore ESSACHINA recommends that you read the Privacy Policy in its entirety to help you better protect your privacy.

8.2 Regulation of Information Release and Authorization of Non-Personal Information

8.2.1 You shall be responsible for all actions under your registered account and bear all risks arising from the use of the Content, including risks arising from reliance on the correctness, completeness or usefulness of the Content. You shall comply with laws and regulations when using the services under this Agreement, and shall not produce, copy, publish, disseminate, comment on information containing the following contents or engage in related behavior, nor shall you facilitate the production, copying, publishing, disseminating, commenting on information containing the following contents or engage in related behavior:

(i) Violating the prohibitions of national laws and regulations;

(ii) Endangering national security, leaking state secrets, subverting state power and undermining national unity;

(iii) Damaging the honor and interests of the state;

(iv) inciting racial hatred and racial discrimination and undermining national unity

(v) Undermining the state's religious policy and promoting cults and feudal superstitions;

(F) Spreading rumors, disturbing social order and undermining social stability;

(VII) spreading obscenity, pornography, gambling, violence, terrorism or abetting crime;

(H) Fraudulent, false, inaccurate or misleading;

(ix) Infringing on the intellectual property rights of others or involving third-party trade secrets and other proprietary rights;

(x) Insulting, defaming, intimidating, involving other people's privacy and other infringements of other people's legitimate rights and interests;

(xi) The existence of viruses, Trojan horses, crawlers and other malicious software or program code that may damage, tamper with, delete, or affect the normal operation of any system of the ESSACHINA Platform or unauthorized and secret access to data and personal information of the ESSACHINA Platform and other users;

(xii) Violating the bottom line of laws and regulations, the bottom line of social public order, the bottom line of morality and the bottom line of information authenticity;

(xiii) other contrary to the public interest or public morals or legal provisions or according to the provisions of the relevant ESSACHINA platform agreements, rules and regulations are not suitable for release on the ESSACHINA platform.

 8.2.2 You declare and guarantee that you have the corresponding and legal rights to the information you publish. Otherwise, ESSACHINA may delete or block the information published by you in accordance with the law or this Agreement.

IX. Default and Handling of Users

9.1 Default Recognition

If one of the following situations occurs, you are considered to be in breach of contract:

(A) the use of Yizai technology services in violation of relevant laws and regulations;

(ii) Violation of this Agreement or the supplemental agreement to this Agreement.

In order to adapt to the development of e-commerce and to meet the demand for efficient and high-quality services of a large number of users, you understand and agree that IST may agree to the procedures and standards for the determination of breach of contract in the ESSACHINA platform rules. For example: ESSACHINA may rely on the relationship between your user data and the massive user data to determine whether you constitute a breach of contract; you are obliged to provide sufficient evidence and reasonable explanations of your data anomalies, or else you will be recognized as a breach of contract.

Changes of the Agreement

10.1 Yizai Technology may, in accordance with changes in national laws and regulations and the need to maintain market order and protect the legitimate rights and interests of users, from time to time to amend the Agreement, Supplemental Agreement, the changed agreement, Supplemental Agreement (hereinafter referred to as “changes”) will be notified through the statutory procedures and effective notice of the agreement.

10.2 If you do not agree with the Changes, you have the right to contact Izumi Technology for feedback prior to the effective date of the Changes. If the feedback is accepted, Izumi Technology will adjust the changes at its discretion. If you still do not agree with the changes that have taken effect, you should stop using Icetech services on the effective date of the changes, and the changes will not be effective for you; if you continue to use Icetech services after the changes have taken effect, you are deemed to have agreed to the changes that have taken effect.

XI. Effective Notice

11.1 Effective Contact

When you register as a user of the ESSACHINA platform and accept the services of ESSACHINA Technology, you should provide ESSACHINA Technology with real and effective contact information (including your e-mail address, contact phone number, contact address, etc.), for changes in contact information, you are obliged to update the relevant information in a timely manner, and to maintain the status of being effectively contacted.

The member account (including sub-accounts) that you generated when you registered as a user of the ESSACHINA platform for logging in to the ESSACHINA platform to receive in-site letters and system messages also serves as your valid contact information.

ESSACHINA will send you various notices to one or several of the above contact information, and the content of such notices may have a significant favorable or unfavorable impact on your rights and obligations, so please be sure to pay attention to them in a timely manner.

You have the right to obtain information about products or services you are interested in through the cell phone number or e-mail address you fill in when you register, if you do not want to receive such information, you have the right to unsubscribe through the corresponding unsubscribe function provided by Izumi Technology.

11.2 Delivery of Notices

ESSENCE Technology will send you notices through the above mentioned contact methods, of which written notices sent electronically, including but not limited to announcements on the ESSENCE Technology platform, cell phone text messages sent to the contact phone number provided by you, e-mails sent to the e-mail address provided by you, and system messages sent to your account as well as internal mail messages, are deemed to be delivered upon successful delivery; written notices sent on paper carrier, in accordance with the contact address provided. Written notices shall be deemed to be served on the fifth natural day after the delivery of the mail at the contact address provided.

XII. Termination of the Agreement

12.1 Termination of the Agreement

12.1.1 You have the right to terminate this Agreement in any of the following ways:

(i) You contact ESSACHINA to apply for cancellation of your account when the account cancellation conditions required by the ESSACHINA Platform are met;

(ii) If you stop using ESSACHINA's services and expressly do not want to accept the changes before the changes take effect;

(c) You expressly do not wish to continue using ESSAC's services and the termination conditions required by the ESSACHINA Platform are met.

12.1.2 ESSEC may notify you of the termination of this Agreement in an effective manner as agreed in this Agreement in the event of any of the following circumstances:

(i) Your authenticated identity is invalid, no longer legally survives or cannot be effectively verified;

(ii) You violate this Agreement, and Icai Technology terminates this Agreement based on the terms of breach of contract;

(C) you steal other people's accounts, publish prohibited information, take improper means of profit-making and other behaviors, ESSACHINA Technology based on the ESSACHINA platform rules on your account to be closed;

(d) In addition to the above, because you repeatedly violate the provisions of the ESSACHINA platform rules and the circumstances are serious, ESSACHINA Technology in accordance with the ESSACHINA platform rules to close your account;

(E) Your account was recalled by ESSACHINA in accordance with this Agreement;

(F) You have other serious violations of the law and breach of contract;

(VII) Yizai Technology has reasonable grounds to believe that your behavior may cause you, Yizai Technology and ESSACHINA platform users and other related parties to incur serious damage or legal liability;

(H) Other circumstances that should be terminated.

12.2 Handling after termination of the Agreement

12.2.1 After the termination of this Agreement, ESSACHINA shall not be obliged to disclose any information in your account to you or a third party designated by you, except as expressly provided by law.

12.2.2 After the termination of this Agreement, Yizai Technology still enjoys the following rights:

(i) Continue to save the various types of information listed in Article 8 of this Agreement that you have retained on the ESSACHINA Platform;

(b) For your past violations, ESSACHINA may still pursue the responsibility of breach of contract with you in accordance with this Agreement.

12.2.3 After the termination of this Agreement, ESSINA may notify the counterparty and decide whether to close the trade order according to the counterparty's wishes for the trade order generated during the termination of this Agreement; if the counterparty requests to continue to fulfill the order, you shall continue to fulfill the agreement of this Agreement and the trade order for the trade order, and bear any loss or increase in any cost arising from it.
